Private Limited Company vs LLP — Which is Better for Your Business?

Choosing between a Private Limited Company and an LLP is one of the most important decisions for any founder. Here is a detailed comparison to help you decide.

The Core Difference

A Private Limited Company (Pvt Ltd) is a separate legal entity governed by the Companies Act 2013 — best for startups seeking investment. An LLP (Limited Liability Partnership) is governed by the LLP Act 2008 — best for professionals and service businesses wanting partnership simplicity with limited liability.

Side-by-Side Comparison

Statutory audit Mandatory Required if turnover > ₹40L
Registration cost ~₹8,000–₹15,000 ~₹5,000–₹10,000

When to Choose Private Limited Company

Choose Pvt Ltd if: you plan to raise VC or angel funding, you want to issue ESOPs to employees, you are building a product startup, you plan inter-state or international business at scale, or you want maximum credibility with large clients.

When to Choose LLP

Choose LLP if: you are a professional services firm (CA, lawyer, architect, consultant), you do not plan to raise equity investment, you want simpler compliance and lower cost, you have 2–5 partners sharing profits, or you run a family business without growth capital needs.

Taxation Comparison

Pvt Ltd: 22% corporate tax + 10% dividend tax when distributing profits = effective ~29.7% on distributed earnings. LLP: 30% on profits, but no dividend tax — profit sharing is tax-neutral for partners. For high-profit businesses where profits stay in the company, Pvt Ltd is better. For firms distributing all profits, LLP may be more tax-efficient.

Our Recommendation

If you are a tech startup, e-commerce, or any product business — go Pvt Ltd. If you are a CA firm, law firm, architect, or any professional services business — LLP is the cleaner choice. Both can be converted later, but it is cleaner to start right.
